Terms of Use

  1. Your Acceptance
    1. By clicking using this website (collectively, including all content available through the CollaborativeDrug.com domain name, the “Collaborative Drug Discovery Website”, the “CDD Website”, or “Website”), you signify your agreement to these terms and conditions (the “Terms of Use”).
    2. Although we may attempt to notify you when major changes are made to these Terms of Use, you should periodically review the most up-to-date version at www.collaborativedrug.com. CDD may, in its sole discretion, modify or revise these Terms of Use and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
  2. CDD Accounts
    1. In order to access features of the Website, you will have to obtain your own CDD account. You may never use another's account without permission from CDD. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify CDD immediately of any breach of security or unauthorized use of your account.
    2. Although CDD will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of CDD or others due to such unauthorized use.
  3. Uploaded and Access to CDD Community Open Access Data
    1. As a CDD account holder you may upload and have access to the CDD Database data accessible to all other CDD account holders (“Community Open Access Data”). You understand that whether or not such Community Open Access Data is previously published, CDD does not guarantee any confidentiality amongst other CDD account holders with respect to any Community Open Access Data.
    2. You shall be solely responsible for your own Community Open Access Data and the consequences of posting or publishing it via. In connection with Community Open Access Data, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize CDD to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all Community Open Access Data to enable inclusion and use of the Community Open Access Data in the manner contemplated by the Website, your agreement with CDD and these Terms of Use.
    3. For clarity, you retain all of your ownership rights in your Community Open Access Data. However, by uploading Community Open Access Data to the CDD Database, you hereby grant CDD a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Community Open Access Data in connection with the CDD Website and CDD’s (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the CDD Website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each account holder of the CDD Website a non-exclusive license to access your Community Open Access Data through the Website, and to use and export such Community Open Access Data as permitted through the functionality of the Website and under these Terms of Use. The above licenses granted by you in your Community Open Access Data are perpetual and irrevocable.
    4. In connection with your own Community Open Access Data, you further agree that you will not upload material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant CDD all of the license rights granted herein.
    5. CDD does not endorse any Community Open Access Data or any opinion, recommendation, or advice expressed therein, and CDD expressly disclaims any and all liability in connection with Community Open Access Data. CDD does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and CDD will remove all Community Open Access Data if properly notified that such Community Open Access Data infringes on another's intellectual property rights. CDD reserves the right to remove Community Open Access Data without prior notice.

  4. Your Use and Exporting of Third-Party Community Open Access Data on the Site

    The following restrictions and conditions apply specifically to your use and exporting of third-party Community Open Access Data on the CDD Website.

    1. With free read-only accounts you may view and mine the third-party Community Open Access Data within the CDD Database on the CDD website
    2. With commercial read-and-write accounts you may:
      1. access and export Community Open Access Data owned by third parties solely for your information and for your research group’s own internal use.
      2. Exported Community Open Access Data may not be copied, reproduced, distributed, transmitted, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of its respective owners and CDD.
      3. You may access and export Community Open Access Data and other content only as permitted under this Agreement. CDD reserves all rights not expressly granted in and to the Community Open Access Data.
      4. You agree to not engage in any use, copying, or distribution of Community Open Access Data of third parties obtained through the Website for any commercial purposes.
      5. You agree not to circumvent, disable or otherwise interfere with security-related features of the CDD Website or features that prevent or restrict use or copying of any Community Open Access Data or enforce limitations on use of the CDD Website or the content therein.
      6. You understand that when using the CDD Website, you will be exposed to Community Open Access Data from a variety of sources, and that CDD is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Community Open Access Data. You further understand and acknowledge that you may be exposed to Community Open Access Data that is inaccurate or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against CDD with respect thereto, and agree to indemnify and hold CDD, its Owners/Operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the site.
